These Terms of Service (“Terms”) govern your access to and use of the Sudo Ring, the Sudo mobile application, the Sudo AI agent, the sudo-ring.com website, and any related services (collectively, the “Services”) provided by Botnet LLC (“Sudo,” “we,” “us”).
By setting up a Sudo Ring, creating an account, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
You must be at least 13 years old (or the equivalent minimum age in your jurisdiction) to use the Services. If you are between 13 and the age of majority in your jurisdiction, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
You must not be located in a country subject to a U.S. government embargo or designated as a state sponsor of terrorism, and you must not be on any U.S. government restricted-party list.
You are responsible for maintaining the confidentiality of your Sudo account credentials and for all activity that occurs under your account. Keep your password secure and notify us immediately at security@sudo-ring.com if you suspect any unauthorized access.
You agree to provide accurate, current information when creating your account and to update it as needed. We may suspend or terminate accounts that contain false or misleading information.
The Sudo Ring is a wearable device that captures voice input via an embedded microphone and transmits it to your paired iPhone for processing. You agree to use the ring in accordance with its documentation, to keep its firmware up to date, and not to modify, reverse-engineer, or attempt to extract cryptographic keys from the secure enclave.
The Sudo mobile application and AI agent are licensed, not sold. Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to use the software for your own personal or internal business use. We may release software updates automatically to improve features, fix bugs, and address security issues.
The Sudo AI agent can interact with third-party services you connect (for example Gmail, Slack, Notion, Linear, Reminders, GitHub, and ChatGPT). You are responsible for granting and revoking access to those services through the Sudo app. Sudo is not responsible for the actions those services take with content you send them.

Violations may result in suspension or termination of your account and, where applicable, referral to law enforcement.
The Sudo AI agent uses speech-to-text models and large language models to transcribe your voice and carry out the actions you request. You understand and acknowledge that:
The Services, including the Sudo Ring design, the mobile application, the AI agent, the sudo-ring.com website, logos, illustrations, and all related software and documentation, are owned by Botnet LLC and are protected by U.S. and international intellectual property laws. Nothing in these Terms grants you any right to use the Sudo name, trademarks, or trade dress except as expressly permitted in writing.
We welcome community projects and developer integrations. If you build on top of Sudo, you retain ownership of your code, and we retain ownership of ours.
“User Content” means the voice recordings, transcribed memos, and any text or instructions you provide to the AI agent. You retain full ownership of your User Content.
You grant Sudo a worldwide, non-exclusive, royalty-free license to use, process, transmit, and store your User Content solely as necessary to provide the Services to you and to ensure the safety and security of the platform. We do not claim ownership of your User Content.
You represent that you have all necessary rights to your User Content and that it does not violate the rights of any third party or applicable law.
The Services integrate with third-party platforms such as Gmail, Slack, Notion, Linear, Reminders, GitHub, and ChatGPT. These services are provided by independent companies and are governed by their own terms and privacy policies. Sudo does not control and is not responsible for their behavior, availability, or data practices.
When you connect a third-party service, you authorize Sudo to access it according to the permissions you grant. You can revoke access at any time through the Sudo app or through the third-party service’s own settings.
EXCEPT AS REQUIRED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT TRANSCRIPTIONS OR AI ACTIONS WILL BE ACCURATE OR RELIABLE.
YOU USE THE SERVICES AT YOUR OWN RISK. ANY ACTION TAKEN BY THE AI AGENT ON YOUR BEHALF IS YOUR RESPONSIBILITY. YOU SHOULD REVIEW ALL AI-GENERATED CONTENT BEFORE SENDING, PUBLISHING, OR EXECUTING IT.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BOTNET LLC, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless Botnet LLC and its affiliates, officers, employees, and contractors from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of (a) your User Content, (b) your violation of these Terms, (c) your violation of applicable law or the rights of a third party, or (d) actions taken by the AI agent on your behalf through connected third-party services.
You may stop using the Services and close your account at any time through the Sudo app or by emailing support@sudo-ring.com. Upon closure, we will delete your User Content and personal data in accordance with our Privacy Policy’s retention schedule.
We may suspend or terminate your access to the Services immediately, without notice, if we believe you have violated these Terms or if your conduct creates a risk of legal liability or harm to Sudo, other users, or third parties.
Sections that by their nature should survive termination — including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law — will remain in effect after your account is closed.
We may modify these Terms from time to time. When we do, we will post the revised Terms on this page and update the “Last updated” date. If we make material changes that adversely affect your rights, we will notify you through the app or via email before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. You and Sudo agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising out of or related to these Terms or the Services.
Before filing a claim, you agree to first contact us at legal@sudo-ring.com to attempt to resolve the dispute informally. If the dispute is not resolved within 60 days, either party may initiate formal proceedings.
Any dispute that cannot be resolved in small-claims court will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be held in Delaware. The arbitrator may award the same relief a court could, but may not award class-wide relief. You and Sudo each waive the right to participate in a class action or class-wide arbitration.
